InterContinental Hotels Group Festival City Privilege Club Membership Agreement

Use of the membership card and/or any of the certificates constitutes acceptance of the terms and conditions listed herein:

1. Dining Benefit (Non-Transferable): Members shall receive a twenty-five percent (25%) discount at participating restaurants, lounges and bars, as specified on the Privilege Club web-site, for breakfast, brunch, lunch and dinner for up to a maximum group size of twelve (12) people dining.

Conditions: Only one card per table • Membership Card must be presented at time of dining in order to receive discount • All food and beverage must be purchased during the restaurant’s operating hours, and ordered from the restaurant’s regular menu, including any and all special menus, attachments, or "clip-ons" • The discount shall not be applied to (a) applicable taxes, service charges and gratuities; (b) orders made off-premises, functions or through room service; (c) discounted dining specials or hotel promotions independent of the Privilege Club program; (d) all beverages and (e) meals taken as part of bed & breakfast, half-board or full-board package rates

2. Preferred Room Rate (Transferable): Members shall receive a ten percent (10%) discount off the best flex rate.

Members shall be entitled to a twenty percent (20%) discount off the best flexible rate and best flexible breakfast rate • Rate excludes service charges and taxes • Discount is applicable on all room types • Limited Offer valid until 31 December 2011 only • Valid only at InterContinental Abu Dhabi, Crowne Plaza Abu Dhabi, Crowne Plaza Abu Dhabi Yas Island, all IHG participating hotels in the Dubai Festival City complex and Crowne Plaza Dubai

Conditions: Valid for single or double occupancy. Not valid for bookings made through travel agents or for group or block bookings • Reservations must be made in advance and are subject to space availability restrictions • Membership number must be provided at time of advance reservation for Member and/or guest.

3. Beverage Benefit (Non-transferable): Member shall receive a twenty percent (20%) discount on all alcoholic and non-alcoholic beverages for up to a maximum group size of twelve (12) people.

Conditions: Membership Card must be presented in order to receive discount • Valid at all participating restaurants, lounges and bars, as specified on the Privilege Club web-site • Discount shall not apply to applicable taxes, service charges and gratuities.

4. 5. Certificate Booklet: Each member will receive one (1) set of Privilege Club Certificates, containing the following certificates for use at InterContinental Hotels Group Festival City, terms & conditions as printed on each certificate:
a. 7 x AED 100 Cash Certificate (Non-Transferable): Seven (7) cash certificates to the value of one hundred Dirhams (AED 100) each, for full or part payment of food and beverage • Can be used up to a maximum spend of three hundred Dirhams (AED 300) per visit at all participating outlets except the Belgian Beer Café • Maximum spend at Belgian Beer Café is limited to one hundred Dirham (AED 100) only • Not valid during lunch at Reflets par Pierre Gagnaire
b. 1 x Special Weekend Rate Certificate (Transferable): One (1) certificate for a twenty-five percent (25%) discount off the best available rate • Valid for up to two (2) consecutive nights • Valid for check-in on Thursdays, Fridays or Saturdays only
c. 1 x House Wine Certificate (Transferable): One (1) certificate to enjoy one (1) complimentary bottle of house wine, when dining at any participating outlet • Not valid at Reflets par Pierre Gagnaire
d. 1 x Bistro Madeleine House Wine Certificate (Transferable): One (1) certificate to enjoy one (1) complimentary bottle of house wine, when dining at Bistro Madeleine
e. 1 x Two (2) for One (1) Terra Firma Dinner Certificate (Transferable): One (1) certificate to enjoy one complimentary main course, when a main course of equal or greater value is purchased at Terra Firma • Valid for main course during dinner only • Not valid in conjunction with Privilege Club Card Benefits
f. 1 x Two (2) for One (1) Zaytoun Dinner Certificate (Transferable): One (1) certificate to enjoy one complimentary main course, when a main course of equal or greater value is purchased at Zaytoun • Valid for main course during dinner only • Not valid in conjunction with Privilege Club Card Benefits
g. 1 x Two (2) for One (1) Blades Dinner Certificate (Transferable): One (1) certificate to enjoy one complimentary main course, when a main course of equal or greater value is purchased at Blades • Valid for main course during dinner only • Not valid in conjunction with Privilege Club Card Benefits
h. 1 x Buy two (2) Pay for One (1) Drinks Certificate (Transferable): One (1) certificate to enjoy one complimentary drink, when a drink of equal or greater value is purchased at Eclipse • Not valid in conjunction with Privilege Club Card Benefits
i. 1 x ‘Midweek Golf’ 18 Hole Green Fee Certificate (Non-Transferable): One (1) certificate to enjoy a twenty percent (20%) discount on the ‘Midweek Golf’ 18 Hole Green Fee • Discount is applicable on rack rates only • Valid from Monday to Wednesday only • Not valid in conjunction with Privilege Club Card Benefits
j. 1 x Suite Upgrade Certificate (Non-Transferable): One (1) certificate to enjoy a complimentary upgrade to a Suite • Valid for up to three (3) consecutive nights stay
k. 1 x Complimentary Body Scrub Certificate (Transferable): One (1) certificate to enjoy a complimentary thirty (30) minute body scrub on the purchase of any ninety (90) minute Signature massage, at the Spa InterContinental • Valid from Sunday to Thursday only
l. 1 x Complimentary Back Massage Certificate (Transferable): One (1) certificate to enjoy a complimentary thirty (30) minute back massage on the purchase of a seventy five (75) minute Anti-Age Facial, at the Spa InterContinental • Valid from Sunday to Thursday only

6. Limited Special Offer: Each member will receive the following Privilege Club certificate, terms & conditions as printed on each certificate ♦ Limited Offer valid until 31 December 2011 only
a. 1 x Complimentary BUFFET Certificate (Non-transferable): One (1) certificate for one complimentary BUFFET when a BUFFET of equal or greater value is purchased ♦ Valid only at Anise, InterContinental Dubai Festival City ♦ Not valid in conjunction with Privilege Club Benefits

7. Additional Benefits: Each member will receive one (1) set of the following certificates, for use at Crowne Plaza Dubai Deira, terms & conditions as printed on each certificate:
a. 1 x AED 100 Cash Certificate (Transferable): One (1) Cash Certificate to the value of one hundred Dirhams (AED 100), for full or part payment of food and beverage • Valid at Spice Island, Sails or Harry’s Place only
b. 1 x Buy One Get One Free Main Course Certificate (Transferable): One (1) certificate to enjoy one complimentary main course when a main course of equal or greater value is purchased ♦ Valid for main course at Sails or Harry’s Place only ♦ Not valid in conjunction with Privilege Club Benefits

8. a. Referral Card Incentive (Transferable): Upon submission of the names of a minimum of five (5) friends or colleagues to be solicited for potential membership, Member shall receive, for each such friend or colleague who purchases a membership, one (1) certificate to enjoy a fifty percent (50%) discount off the best flex weekend rate or best flex breakfast weekend rate.

Conditions: Valid for an overnight stay on Thursday, Friday and Saturday only • A maximum of two (2) certificates per Member per membership term

b. Referral Card Incentive (Non-Transferable): Upon submission of names of a minimum of five (5) friends or colleagues to be solicited for potential membership, Member shall receive, for each such friend or colleague who purchases a membership, one (1) certificate for one (1) complimentary buffet lunch or dinner for two (2) at Anise.

Conditions: A maximum of two (2) certificates per Member per membership term

9. Renewal Benefit (Non-Transferable): Member shall receive one (1) complimentary Spouse Membership. Spouse Members receive the same Benefits as Members, excluding any and all certificates i.e. valid only for Member Benefits associated directly with the membership card. With the exception of countries where it is customary for spouses not to take on the same family name, Spouse Members must have the same family name as the Member.

TERMS & CONDITIONS
(i) Acceptance: Use of the membership card constitutes acceptance of the terms and conditions listed herein.
(ii) Membership Card: The membership card is the property of the issuing agent and must be returned upon request; valid until the expiry date featured on the membership card, which shall be one year after initial purchase date; has no cash value and does not guarantee any dining reservation.
(iii) Membership Benefit Conditions: All benefits are subject to availability; valid seven days a week, unless otherwise specified, excluding Black Out Dates below; valid until the expiry date featured on the membership card and may not be used in conjunction with any other discount or promotional offer. Membership discounts exclude applicable taxes, service charges and gratuities.
(iv) Black Out Dates: All benefits shall not be valid on New Year’s Eve. All room benefits/certificates shall not be valid during the Hajj season in participating hotels in Jeddah, Madinah and Makkah.
(v) Transferable and Non-Transferable Benefits:
A. Transferable: Benefits may be used by the Member or by a Member’s guest. The Member/ Membership Card need not be present at time of guests’ use of the benefit.
B. Non-Transferable: Benefits may be used only by the Member and upon presentation of their valid Membership Card. Proof of identification may be required by Hotel.
(vi) Certificates: Only one (1) set of certificates per Member per membership term. Hotels must be notified of the intended use of certificates at the time of advance reservation. Certificates are valid seven (7) days a week , unless otherwise stated, up to the expiration date printed on said certificates and such validity will not be extended; may not be used in conjunction with any other discount or promotional offer; and have no cash value. Cash Certificates: Excluding applicable taxes, service charges and gratuities.
(vii) Modification (Hotel/Restaurant & Benefit Changes): At the time of going to print, all hotels detailed in the membership collateral are participating hotels within the membership program. Participating hotels/restaurants may cease to honor benefits without prior notice. Benefits may also be subject to change without prior notice. Wherever possible, Members will be kept updated on all such modifications. Members can also verify restaurant participation & benefits by calling Customer Services. Membership Program marketing agent declines any responsibility for any such modification.
(viii) Currency Exchange: All amounts listed in US$ may be charged/calculated in local currency using current rates of exchange.
(ix) Lost/Stolen Membership Materials: All lost or stolen certificates will not be replaced. Lost or stolen membership cards must be reported to Customer Services. A processing fee of US$ 20.00 will be charged for each replacement membership card, which will be issued with the same expiration date as the previously issued card.
(x) Cancellations: Cancellation of Membership will be honored up to ten (10) days from the date of issue, but no refund will be issued until the membership card and all certificates have been returned unused to a Customer Services Office. Refund amount will be excluding shipping & handling charges.
(xi) Limitation of Liability: In no event shall the owners, operators, franchisors or licensors of any hotel that may accept the benefits of membership herein, or any of their affiliated or subsidiary companies, or their directors, agents, managers, or employees, or the proprietor or the marketing agent of the Membership Program (hereinafter collectively “Protected Parties”) be liable for any indirect, special or consequential damages; and without limiting the generality thereof, including any loss, cost or damage to, or suffered by, the Member or others, arising from defects, negligence, delays, failure of performance or non-performance, including all claims, demands, obligations, liabilities, indebtedness, breaches of contract, breaches of duty or of any relationship, liability for acts, omissions, misfeasance, malfeasance, damages of every type, nature or kind suffered by Members or others, resulting from the action, or inaction of the hotel or its agents or employees in connection with the Benefits provided to Member herein. In the event of a breach of any of the provisions hereof by any Protected Party, the extent of any liability of any such Protected Party shall be limited to the amounts paid by Member as a subscription for membership in the marketing program.
